中华人民共和国新破产法：新旧规定比较与破产管理人任务分析

论文摘要

2007年中國政府開始實施新的破產法。由於舊的破產法已經實施超過20年之久,因此新破產法的生效可說是具有劃時代的意義。新破產法普遍被視為中國朝向西方司法標準的一大步。本論文所研究的是中國破產法的主要演變。這項研究可幫助民眾,尤其是在中國可能接觸到破產事物或申請破產管理人身分的外籍人士,更了解相關的法令細節。由於破產管理人在公司清算的過程中扮演十分重要的角色,因此本研究的目的也主要探討與分析新破產法在這一方面所帶來的變化。本論文首先探討中國破產法的歷史,也就是從中國在1906年通過的首例破產法以來的演變過程。隨著時代的演變我們會介紹新破產法所帶來的主要改變以及其中主要成份。此後,我們會介绍舊法關於破產管理人或清算小組角色的相關規定。在舊的破產法中,破產管理人並非一個人而是一組人員。我們先從六個角度分析這個角色在舊法中的定義;這些角度包括:(1)指派過程、(2)必須符合的條件與教育水準、(3)法律身分、(4)職務和職責、(5)管轄範圍以及(6)破產管理人的報酬。緊接著,我們從同樣的角度分析新法中的破產管理人的角色。最終,我們將新舊兩法合併比較,並且針對破產管理人的角色加以分析,介绍新法所帶來的改善以及實際影響。
